Terms of Service

1. Acceptance of Terms

By accessing or using the platform Siten Yayında (the "Service"), operated by Badoworks Company ("we", "us") at sy.badosoftware.com.tr, you ("Customer", "you") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

The Service is a B2B SaaS platform that helps small and medium businesses manage their customer relationship lifecycle (CRM) and conduct customer outreach via the WhatsApp Business API and email. The Service is intended exclusively for legitimate business use by registered Customers.

3. Eligibility & Account

You must be at least 18 years old and legally able to enter into binding agreements in your jurisdiction.
You must register for an account with accurate information.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.

4. Customer Responsibilities

As a Customer, you represent and warrant that:

You have the lawful basis (consent, legitimate interest, or contractual necessity) to communicate with each contact you upload or reach out to through the Service.
You comply with all applicable laws in your jurisdiction, including data protection law (KVKK / GDPR), consumer protection law, and electronic communications regulations.
You comply with WhatsApp Business Messaging Policy and the Meta Platform Terms when using the WhatsApp integration.
You respect opt-out requests promptly and do not attempt to circumvent the platform's automatic opt-out detection.
Your WhatsApp Business Account is properly registered with Meta and you are the rightful operator.

5. Prohibited Use

You agree not to use the Service for any of the following:

Sending unsolicited spam, marketing messages, or other communications to recipients who have not consented to receive them.
Harassment, fraud, scams, phishing, or any illegal activity.
Sharing illegal, defamatory, obscene, hateful, or otherwise objectionable content.
Reverse-engineering, scraping, decompiling, or attempting to extract source code of the Service.
Using the Service in a way that violates Meta's WhatsApp Business policies, including but not limited to: messaging users outside the 24-hour window without an approved template, sending content that violates Meta's content policies, or attempting to bypass rate limits.
Reselling or redistributing the Service without our written permission.
Any activity that interferes with the security or normal operation of the Service.

6. WhatsApp Business API Compliance

The Service uses the WhatsApp Business Cloud API. By using the WhatsApp features of the Service, you additionally agree to be bound by:

We may suspend or terminate your account at our discretion if we receive complaints from Meta or detect activity that violates these policies.

7. Fees & Payment

Fees, if any, are described separately in your service agreement or on our pricing page. Payment terms, refund policies, and billing cycles are governed by that agreement. WhatsApp Business API conversation costs incurred by Meta are passed through and may be billed separately or included in your plan as agreed.

8. Intellectual Property

The Service, including its source code, design, trademarks, and content created by us, is owned by Badoworks Company and protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your legitimate business purposes only.

Content uploaded by you (customer records, messages, templates) remains your property. You grant us a license to host, process, and transmit such content solely to operate the Service on your behalf.

9. Suspension and Termination

We may suspend or terminate your access to the Service, with or without notice, if:

You violate these Terms of Service.
You violate WhatsApp Business policies or Meta Platform Terms.
We receive a verified complaint or legal notice regarding your account.
We are required to do so by law or by a binding order from a public authority.

You may close your account at any time by contacting bahadir@badoworks.com. Upon termination, your data will be deleted in accordance with our Privacy Policy.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure operation. We are not responsible for outages, delivery delays, or errors caused by third-party services (Meta, Brevo, hosting providers).

11. Limitation of Liability

To the maximum extent permitted by applicable law, Badoworks Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Badoworks Company, its affiliates, and their respective officers, employees, and agents from any claim, demand, loss, or damage, including reasonable attorneys' fees, arising from your use of the Service, your content, or your violation of these Terms.

13. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email or via a notice on the Service. Continued use of the Service after such changes constitutes acceptance of the modified Terms.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts and enforcement offices of İstanbul, Türkiye.
